Abstract: To analyze the question of independent directors' performance of duties in corporate governance, this paper analyses the performance of independent director and identifies the advantageous characteristics during working in the board of directors, and then a performing evaluation model is proposed from the perspective of various advantages. In this model, first, according to personal idea of configuration, the RepGrid method is applied to check the behavioral features of independent director. Second, the individual advantage parameter and comparative advantages are identified based on the theory of better conforming to nature. Third, combining the independent directors' advantageous parameters and the board's preference, the model is set oriented by the differentiation advantages. Last but not least, a practical example is used to determine the effectiveness and superiority of the method, and some management highlights are put forward to make the independent director execute well.

摘要: 针对独立董事履职作用发挥微弱的问题,在分析独立董事履职行为特点基础上,识别出独立董事履职优势特征,提出了一种体现独立董事优势差异的履职评价模型。首先根据个人构念思想,采用凯利方格访谈技术梳理出独立董事履职过程中行为优势特征;其次以竞优思想为基础,判别出独立董事个体优势参数和比较优势结果;随后综合考虑独立董事履职优势参数和董事会选择偏好,构建优势差异导向下的独立董事履职评价模型。此外,运用一个实际案例验证了该方法的有效性和优越性,给出独立董事履职作用发挥的管理启示。
